NEW YORK–Alcoa (NYSE:AA) today announced the pricing of its public offering of
$1,250,000,000 aggregate principal amount of 5.40% Notes due April 15,
2021. The offering is expected to close on or about April 21, 2011.
Alcoa expects to receive aggregate net proceeds from this offering of
approximately $1,241,275,000, after deducting underwriting discounts and
estimated offering expenses.
Alcoa intends to use the net proceeds from this offering together with
cash on hand, if necessary, to fund the purchase price of its 5.375%
Notes due January 15, 2013 and 6.00% Notes due July 15, 2013 that are
tendered and accepted for purchase in its tender offers launched on
April 13, 2011, including the payment of applicable premiums and
expenses. Alcoa intends to use any net proceeds remaining after this
offering for general corporate purposes, which may include the repayment
or repurchase of certain of the company’s other outstanding indebtedness.
